Terms of Service

1. Acceptance of Terms

By accessing our website or engaging NestuLabs for custom AI engineering services, you agree to be bound by these Terms of Service.

2. Services and Scope of Work

NestuLabs provides custom AI infrastructure, automation pipelines, and database engineering. Every project is governed by a specific, mutually agreed-upon Technical Blueprint and Statement of Work (SOW) defining the exact deliverables, timelines, and costs.

3. Payment Terms

Our engagements operate on a hybrid model:

• Custom Build Fee: A one-time engineering fee for the design, development, and deployment of the system.
• Monthly Retainer: A recurring fee for ongoing hosting, maintenance, API management, and system optimization. Failure to maintain the monthly retainer may result in the suspension of automated services, APIs, and hosting.

4. Intellectual Property

• Your Data: You retain full ownership of all business data, documents, and customer information processed by the system.
• The Codebase: Unless explicitly transferred in the SOW, NestuLabs retains the intellectual property rights to the underlying proprietary code, middleware, and architectural frameworks engineered to run the system. You are granted a permanent, exclusive license to use the system for your business operations.

5. Third-Party Dependencies and Liability

Our custom systems often rely on third-party APIs (e.g., OpenAI, Anthropic, Stripe). NestuLabs is not liable for disruptions, latency, or business losses caused by outages, deprecations, or policy changes from these third-party providers. Furthermore, while we engineer systems for high accuracy, AI models can occasionally produce unexpected outputs. NestuLabs is not liable for direct or indirect financial losses resulting from automated AI actions.

6. Termination

Either party may terminate the monthly maintenance agreement with 30 days written notice, subject to the terms outlined in your specific Statement of Work.
